These terms govern access to and use of ResellFlow. Please read them before creating an account or purchasing a subscription.

1. About ResellFlow

ResellFlow is a web-based resale inventory and operations management service currently operated as a trading name from 5 Millington Close, CH43 3HA, United Kingdom. Resell Flow Ltd is a planned company name but is not represented here as incorporated until incorporation has taken place.

2. Your account

You must provide accurate information and keep login credentials secure. You are responsible for activity by people you authorise to use your account. Tell us promptly if you believe your account has been compromised.

3. The service

ResellFlow provides tools for customer management, collections, labels, intake, inventory, listings, sales, expenses, payouts, reporting and related resale administration. Features may differ between plans.

ResellFlow is an operational record-keeping tool. You remain responsible for checking records, transactions, tax treatment, customer payouts, marketplace activity and business decisions. It is not accounting, tax, financial or legal advice.

4. Trials, subscriptions and payment

Where a free trial is offered, its length and conditions will be shown during signup or purchase. Paid plan prices, billing intervals and included features are shown before subscription.

Subscription payments are processed by our payment provider. Unless stated otherwise at purchase, subscriptions continue for the selected billing period until cancelled. Eligible subscriptions can be managed or cancelled through the billing tools made available in ResellFlow. Cancellation normally stops future renewal while access continues until the end of a period already paid for, subject to the checkout terms and applicable law.

Nothing in these terms removes statutory cancellation, refund or other rights that apply under UK law.

5. Your data

You retain your rights in business information and content you enter. You give us permission to host, copy, process, transmit and display that content only as reasonably necessary to provide, secure, support and maintain the service.

If you enter personal information about customers, staff or other people, you are responsible for having an appropriate lawful basis and providing any privacy information required by law.

6. Acceptable use

  • Do not use ResellFlow for unlawful activity.
  • Do not infringe another person's intellectual-property, privacy or other rights.
  • Do not upload malicious software or deliberately interfere with the service.
  • Do not attempt to access another user's workspace or circumvent security controls.
  • Do not store content you are not legally entitled to process.

7. Availability and changes

We aim to keep ResellFlow reliable, but internet services can experience maintenance, outages and faults. We do not promise uninterrupted availability.

We may improve, replace or discontinue features where reasonably necessary. If a material change significantly reduces a paid service, we will take reasonable steps to provide appropriate notice where practicable and respect applicable legal rights.

8. Intellectual property

ResellFlow's software, design, branding and service materials belong to us or our licensors. A subscription gives you a limited, non-exclusive right to use the service for its intended purpose while your account is authorised.

9. Suspension and termination

You may stop using ResellFlow and cancel your subscription using available account or billing tools. We may suspend or terminate access where reasonably necessary for serious or repeated breach, unlawful use, security risk, non-payment or legal requirements. Where reasonable, we will try to provide notice and an opportunity to remedy a breach first.

10. Records and backups

You should keep appropriate copies or exports of information critical to your business and are responsible for checking information entered into ResellFlow is accurate.

11. Responsibility if something goes wrong

Nothing in these terms excludes or limits liability where doing so would be unlawful. Subject to applicable rights, ResellFlow is not responsible for losses caused by matters outside our reasonable control or by inaccurate information, instructions or actions supplied by a user. If you use ResellFlow wholly for business purposes, we will not be responsible for indirect or consequential business losses such as loss of anticipated profit where the law permits that limitation.

If you use the service as a consumer, your statutory rights are unaffected.

12. Third-party services

ResellFlow relies on third-party hosting, database, authentication, storage and payment services. Separate third-party terms may apply to services those companies provide directly to you.

13. Changes to these terms

We may update these terms to reflect changes to the service, law, security requirements or our business. Updated terms will be made available on the website and reasonable notice will be given for material changes affecting existing paid users where appropriate.

14. Governing law

These terms are governed by the laws applicable in England and Wales. If you are a consumer, this does not deprive you of mandatory protections or rights under the law that applies where you live.
